1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and AI Military Services LLC, operating as VASCO Assistant ("we," "us," "our," or "Company"), governing your access to and use of the website located at https://aimilitaryservices.com and all related services, tools, content, and features (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.

You represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into these Terms; (c) you are not prohibited from accessing or using the Services under applicable law; and (d) all information you provide is accurate and complete.

2. Changes to Terms

We reserve the right, in our sole discretion, to modify, amend, or replace these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Post the revised Terms on this page
• Provide notice via email, prominent notice on our Services, or other reasonable means

YOUR CONTINUED USE OF THE SERVICES AFTER CHANGES ARE POSTED CONSTITUTES YOUR ACCEPTANCE OF THE REVISED TERMS. IF YOU DO NOT AGREE TO THE CHANGES, YOU MUST IMMEDIATELY STOP USING THE SERVICES.

It is your responsibility to review these Terms periodically. Material changes will be effective 30 days after posting unless otherwise stated. Non-material changes are effective immediately upon posting.

3. Description of Services

VASCO Assistant provides educational resources, training programs, tools, calculators, templates, and information designed to assist School Certifying Officials (VASCOs) and educational professionals in managing VA education benefits and student certifications. Our Services include but are not limited to:

• Educational content, guides, and documentation
• Training courses and webinars
• Benefit calculators and analysis tools
• Templates, checklists, and downloadable resources
• Blog articles and policy updates
• Community features and support
• AI-powered chatbot assistance
• Dashboard and account management features

WE RESERVE THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE ANY ASPECT OF THE SERVICES AT ANY TIME WITHOUT NOTICE OR LIABILITY. WE DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE AVAILABLE, ERROR-FREE, OR UNINTERRUPTED.

4. User Accounts and Registration

4.1 Account Creation

Certain features of our Services may require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with any third party
• Not create an account using false or misleading information
• Not create multiple accounts or accounts on behalf of others without authorization

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice, for any reason including but not limited to: violation of these Terms, fraudulent activity, abusive behavior, or inactivity. You may terminate your account at any time by contacting us or using the account deletion feature.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services in a professional manner consistent with your role as a School Certifying Official or educational professional.

5.2 Prohibited Uses

You agree NOT to use the Services to:

• Violate any applicable federal, state, local, or international law or regulation
• Infringe upon or violate our intellectual property rights or the rights of others
• Harass, abuse, threaten, defame, or intimidate any person or entity
• Impersonate or attempt to impersonate the Company, our employees, another user, or any other person or entity
• Upload or transmit viruses, malware, or any other malicious code
• Attempt to gain unauthorized access to any portion of the Services, other accounts, or computer systems
• Engage in any automated use of the system (bots, scripts, scrapers) without our express written permission
• Interfere with, disrupt, or create an undue burden on the Services or networks connected to the Services
• Collect or harvest any personally identifiable information from the Services
• Use the Services for any commercial purpose without our authorization
• Frame or mirror any part of the Services without our prior written authorization
• Use any data mining, robots, or similar data gathering or extraction methods
• Submit false, misleading, or fraudulent information
• Attempt to decipher, decompile, disassemble, or reverse engineer any software comprising the Services
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
• Engage in any activity that could disable, overburden, or impair the proper functioning of the Services
• Advocate, encourage, or assist any third party in doing any of the foregoing

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection and arrangement, source code, and the "look and feel") are owned by AI Military Services LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

ALL RIGHTS NOT EXPRESSLY GRANTED TO YOU IN THESE TERMS ARE RESERVED BY US AND OUR LICENSORS.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use or internal business purposes (if you are a School Certifying Official). This license does not include:

• Any right to resell or commercial use of the Services or content
• Any right to copy, reproduce, distribute, or publicly display content (except as expressly permitted)
• Any right to modify, create derivative works, or reverse engineer any part of the Services
• Any right to use data mining, robots, or similar data gathering or extraction tools

6.3 Trademarks

VASCO Assistant, AI Military Services LLC, and all related logos, product and service names, designs, and slogans are trademarks of AI Military Services LLC or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans are the trademarks of their respective owners.

6.4 User Content

If you submit, post, or transmit any content, feedback, suggestions, comments, or materials ("User Content") to the Services, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any media or format, now known or later developed, for any purpose including commercial purposes.

You represent and warrant that: (a) you own or have the necessary rights to submit the User Content; (b) the User Content does not infringe any intellectual property or other rights of any third party; and (c) the User Content complies with these Terms.

6.5 DMCA Notice

If you believe that any content on our Services infringes your copyright, please send a notice to dmca@aimilitaryservices.com with the information required by the Digital Millennium Copyright Act (DMCA).

7. Payment and Billing

7.1 Paid Services

Certain aspects of the Services may require payment of fees. If you choose to use paid Services, you agree to pay all applicable fees as described at the time of purchase. All fees are in U.S. Dollars and are non-refundable unless otherwise stated or required by law.

7.2 Billing and Renewal

For subscription-based Services, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for all fees owed. We reserve the right to change our fees at any time with 30 days' notice.

7.3 Refund Policy

ALL SALES ARE FINAL. EXCEPT AS REQUIRED BY LAW, WE DO NOT PROVIDE REFUNDS OR CREDITS FOR PARTIAL PERIODS OF SERVICE, UNUSED SERVICES, OR DISSATISFACTION WITH THE SERVICES.

7.4 Taxes

You are responsible for all applicable taxes, duties, and other governmental charges related to your use of the Services. Fees are exclusive of such taxes unless otherwise stated.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE, COMPLETE, OR RELIABLE
• THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS
• ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED
• THE SERVICES ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM SUCH USE.

9. Professional Advice Disclaimer

THE INFORMATION PROVIDED THROUGH THE SERVICES IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, FINANCIAL, OR OFFICIAL ADVICE.

The Services provide guidance and resources related to VA education benefits and certification processes, but:

• We are not the Department of Veterans Affairs or any government agency
• We do not provide official VA determinations or decisions
• Information may be outdated, incomplete, or inaccurate despite our efforts
• You should verify all information with official VA sources
• You should consult with qualified professionals (attorneys, accountants, VA officials) for specific situations

WE EXPRESSLY DISCLAIM ALL LIABILITY FOR ANY ACTIONS TAKEN OR NOT TAKEN BASED ON INFORMATION PROVIDED THROUGH THE SERVICES. YOUR USE OF ANY INFORMATION OR MATERIALS IS ENTIRELY AT YOUR OWN RISK, FOR WHICH WE SHALL NOT BE LIABLE.

VASCO ASSISTANT IS OPERATED BY AI MILITARY SERVICES LLC AND IS NOT AFFILIATED WITH, ENDORSED BY, SPONSORED BY, OR OFFICIALLY CONNECTED TO THE UNITED STATES DEPARTMENT OF VETERANS AFFAIRS (VA), THE UNITED STATES GOVERNMENT, OR ANY FEDERAL, STATE, OR LOCAL GOVERNMENT AGENCY.

All references to the VA, VA education benefits, VA programs, or VA policies are made solely for descriptive and educational purposes. The use of any VA terminology, references to VA forms, or discussion of VA procedures does not imply endorsement or affiliation.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI MILITARY SERVICES LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the lesser of:

• The amount paid by you, if any, to us for accessing the Services during the twelve (12) months prior to the claim; OR
• ONE HUNDRED DOLLARS ($100.00)

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You acknowledge and agree that the limitations of liability set forth in this Section are fundamental elements of the basis of the bargain between you and us, and that the Services would not be provided without such limitations.

12. Indemnification

You agree to defend, indemnify, and hold harmless AI Military Services LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation
• Your use or misuse of the Services
• Your violation of any rights of any third party, including intellectual property rights
• Any User Content you submit, post, or transmit through the Services
• Your breach of any representations or warranties in these Terms
• Any harm caused by your actions or omissions

This indemnification obligation will survive the termination of these Terms and your use of the Services.

13. Third-Party Links and Services

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

YOU ACKNOWLEDGE AND AGREE THAT WE SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH THE USE OF OR RELIANCE ON ANY SUCH THIRD-PARTY CONTENT, GOODS, OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD-PARTY WEBSITES OR SERVICES.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or use.

14. Termination

14.1 Termination by Us

We may terminate or suspend your access to all or any part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

14.2 Termination by You

You may terminate your account at any time by discontinuing use of the Services and, if you have an account, deleting your account or contacting us at support@aimilitaryservices.com.

14.3 Effect of Termination

Upon termination of your account or access:

• All rights granted to you under these Terms will immediately cease
• You must immediately cease all use of the Services
• We may delete your account and all associated data
• You will not be entitled to any refunds of fees paid

Sections of these Terms that by their nature should survive termination will survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitations of liability, dispute resolution, and general provisions.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to first contact us at legal@aimilitaryservices.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good faith negotiations for at least 30 days.

15.2 Binding Arbitration

IF THE DISPUTE CANNOT BE RESOLVED INFORMALLY, YOU AND WE AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIMS QUALIFY.

The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, if applicable, the AAA's Supplementary Procedures for Consumer Related Disputes. The arbitrator's decision will be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

15.3 Class Action Waiver

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

15.4 Exceptions

Notwithstanding the above, you or we may seek equitable relief in court for infringement or misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, or patents).

16. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

To the extent the arbitration agreement in Section 15 does not apply, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and us regarding your use of the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired in any way. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.

17.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this Section will be null and void.

17.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

17.6 No Third-Party Beneficiaries

These Terms are for the benefit of, and will be enforceable by, the parties only. These Terms are not intended to confer any right or benefit on any third party.

17.7 Notices

We may provide notices to you via email, regular mail, postings on the Services, or other reasonable means. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

17.8 Statute of Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

17.9 Export Compliance

You may not use or export the Services in violation of U.S. export laws and regulations. You represent and warrant that you are not located in a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.

17.10 Electronic Communications

By using the Services, you consent to receiving electronic communications from us. These electronic communications may include notices about applicable fees and charges, transactional information, and other information concerning or related to the Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
